Welcome to Ratiocine.
These Terms of Service ("Terms") govern your access to and use of the Ratiocine website, browser extension, applications, and related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
1. About Ratiocine
Ratiocine is a platform that allows users to save, organize, manage, and optionally publish and share text prompts with the community.
The Service includes both free and paid subscription features.

2. Eligibility
To use the Service you must:
- be at least 16 years of age, or the minimum age required to lawfully use online services in your country;
- have the legal capacity to enter into these Terms; and
- comply with all applicable laws.
If you create an account on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
3. Your Account
You are responsible for maintaining the confidentiality of your account credentials.
You agree to:
- provide accurate account information;
- keep your login credentials secure;
- promptly update inaccurate information;
- immediately notify us if you believe your account has been compromised.
You are responsible for all activity occurring under your account unless caused by our negligence.
You may not sell, transfer, rent, or otherwise make your account available to another person except where expressly permitted under a future business or enterprise subscription offered by Ratiocine.
Individual subscriptions are licensed for use by a single individual only.
4. Free and Premium Services
Ratiocine offers both free and paid subscription plans.
Free accounts may have feature limitations including storage limits, publishing limits, or other usage restrictions.
Premium subscriptions unlock additional features described on our pricing page.
Features may change over time as the Service evolves.
We may introduce new subscription tiers, business plans, or enterprise offerings in the future.
5. Billing and Subscription
Premium subscriptions are billed on a recurring basis until cancelled.
By purchasing a subscription, you authorise Stripe, our payment processor, to charge your selected payment method for all applicable subscription fees.
Subscriptions automatically renew unless cancelled before the next billing cycle.
You may cancel your subscription at any time through the billing portal available within your account.
Cancellation prevents future renewals but does not automatically refund payments already made.
Refund eligibility is governed by our separate Refund Policy.
Failure to pay subscription fees may result in suspension or termination of Premium features.
Prices may change from time to time. Any price changes will apply only to future billing periods after reasonable notice has been provided.
Applicable taxes may be added where required by law.
6. User Content
You retain ownership of any prompts, notes, folders, tags, or other content you create or upload to the Service ("User Content").
Nothing in these Terms transfers ownership of your User Content to Ratiocine.
You are solely responsible for your User Content and the consequences of creating, storing, publishing, or sharing it.
By publishing User Content publicly through the Service, you grant Ratiocine a worldwide, non-exclusive, royalty-free licence to:
- host;
- store;
- reproduce;
- display;
- distribute;
- index;
- cache;
- and otherwise process
your public User Content solely for the purpose of operating, maintaining, improving, securing, promoting, and providing the Service.
This licence ends when the content is permanently removed from our systems, except where retention is required by law, for legitimate security purposes, backups, or where copies have already been distributed as part of the normal operation of the Service.
Private content remains private unless you choose to publish or share it.
7. Local Storage
Certain features may allow content to remain stored locally on your own device.
Content saved only locally is not transmitted to Ratiocine's servers unless you explicitly choose to synchronise or upload it.
You are solely responsible for maintaining backups of locally stored content.
8. Public Content
If you choose to publish prompts publicly, you acknowledge that they may become visible to other users.
Public prompts may be:
- viewed;
- searched;
- indexed within the Service;
- shared through Service features; and
- recommended to other users.
Once other users have interacted with or copied public content, complete removal may not always be possible.
You should not publish information you wish to keep confidential.
9. Your Responsibilities
You agree that you will use the Service responsibly and lawfully.
You are responsible for ensuring that your User Content:
- does not violate any law;
- does not infringe intellectual property rights;
- does not violate privacy rights;
- does not contain malicious software;
- does not impersonate another person;
- does not contain fraudulent or deceptive information.
Ratiocine does not routinely review all User Content and does not endorse user-generated content.
10. Sensitive Information
Ratiocine is designed for storing prompts and related text content.
You should not upload or store:
- passwords;
- API keys;
- financial information;
- health information;
- government identification numbers;
- confidential business information;
- trade secrets; or
- other sensitive personal information.
While we implement reasonable security measures, no online service can guarantee absolute security.
You remain responsible for the information you choose to upload.
11. Acceptable Use
You agree not to misuse the Service.
You must not:
- violate any applicable law;
- upload illegal content;
- harass, threaten, or abuse others;
- distribute malware or malicious code;
- attempt unauthorised access to accounts or systems;
- interfere with the operation of the Service;
- bypass usage limits or subscription restrictions;
- create multiple accounts to evade limits or enforcement actions;
- use bots to create accounts or abuse the platform;
- scrape or harvest content without permission;
- reverse engineer, decompile, or attempt to extract the source code of the Service except where expressly permitted by law;
- interfere with security measures;
- use automated systems that negatively affect platform performance;
- impersonate another individual or organisation;
- knowingly submit false reports or fraudulent claims;
- use the Service for spam or phishing activities;
- exploit software bugs or vulnerabilities;
- attempt to disrupt the experience of other users.
We reserve the right to investigate suspected misuse and take appropriate action.
12. Content Moderation
Ratiocine aims to provide a useful and respectful community for sharing prompts.
We reserve the right, but are not obligated, to review, remove, restrict, edit, or refuse to publish any User Content that we reasonably believe:
- violates these Terms;
- infringes the rights of another person;
- is unlawful;
- contains spam or malicious content;
- promotes fraud or scams;
- contains harmful or offensive material;
- threatens the security or stability of the Service; or
- may expose Ratiocine or its users to legal or operational risk.
Content moderation decisions are made at our sole discretion.
Removal of content does not necessarily imply that a user has violated these Terms.
13. Intellectual Property
The Service, including its software, website, browser extension, branding, logos, design, graphics, features, databases, documentation, and other materials, is owned by or licensed to Ratiocine and is protected by applicable intellectual property laws.
Except as expressly permitted by these Terms, you may not:
- copy;
- reproduce;
- modify;
- distribute;
- sublicense;
- sell;
- lease;
- publicly display;
- commercially exploit; or
- create derivative works from
any part of the Service without prior written permission.
These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for its intended purpose.
No ownership rights are transferred to you.
14. Copyright Complaints
Ratiocine respects intellectual property rights.
If you believe that User Content infringes your copyright or other intellectual property rights, you may submit a notice in accordance with our DMCA Policy or other applicable copyright procedures.
We may remove allegedly infringing material while investigating complaints.
Users who repeatedly infringe intellectual property rights may have their accounts suspended or terminated.
15. Third-Party Services
The Service may integrate with or rely upon third-party providers.
These may include payment processors, authentication providers, hosting providers, analytics providers, cloud infrastructure providers, email delivery providers, and other technology partners.
Your use of third-party services may also be governed by their own terms and privacy policies.
Ratiocine is not responsible for services operated by third parties.
Temporary outages, interruptions, or failures affecting third-party services do not constitute a breach of these Terms.
16. Availability of the Service
We aim to provide a reliable Service but do not guarantee uninterrupted availability.
The Service may occasionally be unavailable due to:
- maintenance;
- software updates;
- security improvements;
- hardware failures;
- internet disruptions;
- third-party outages; or
- circumstances beyond our reasonable control.
We may modify, suspend, discontinue, or replace any feature of the Service at any time.
Where reasonably practical, we will attempt to provide advance notice of significant planned interruptions.
17. Security
We use reasonable administrative, technical, and organisational measures designed to protect the Service and user data.
However, no online service can guarantee complete security.
You acknowledge that:
- internet communications are never completely secure;
- unauthorised access may occur despite reasonable safeguards;
- data transmission is undertaken at your own risk.
You are responsible for maintaining the security of your own devices, passwords, authentication methods, and local backups.
18. Suspension and Termination
We may suspend, restrict, or terminate your account immediately, with or without prior notice, if we reasonably believe that:
- you have violated these Terms;
- you have engaged in fraudulent activity;
- your account presents a security risk;
- you abuse subscription benefits;
- you repeatedly violate community standards;
- you attempt to interfere with the Service;
- you exploit software vulnerabilities;
- you misuse free plans or promotional offers;
- your actions may expose Ratiocine or other users to legal, financial, or operational harm.
We may also suspend accounts where required by law or by requests from competent legal authorities.
You may stop using the Service at any time.
Termination does not relieve you of any payment obligations that arose before termination.
Following termination we may delete User Content after a reasonable retention period, unless retention is required by law, necessary for legitimate business purposes, or required for security, fraud prevention, or dispute resolution.
19. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis.
To the fullest extent permitted by applicable law, Ratiocine disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of:
- merchantability;
- fitness for a particular purpose;
- non-infringement;
- accuracy;
- availability;
- reliability; and
- uninterrupted operation.
We do not warrant that:
- the Service will always be available;
- the Service will be error-free;
- defects will always be corrected;
- User Content will never be lost;
- the Service will meet every user's expectations.
Your use of the Service is entirely at your own risk.
20. Limitation of Liability
To the fullest extent permitted by law, Ratiocine shall not be liable for any:
- indirect damages;
- incidental damages;
- consequential damages;
- exemplary damages;
- punitive damages;
- loss of profits;
- loss of business;
- loss of goodwill;
- loss of data;
- business interruption; or
- loss of anticipated savings,
arising from or relating to your use of the Service.
Where liability cannot legally be excluded, our total aggregate liability for all claims arising from or relating to the Service shall not exceed the total subscription fees actually paid by you to Ratiocine during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded under applicable law, including liability for fraud, fraudulent misrepresentation, death, or personal injury caused by negligence.
21. Indemnification
You agree to indemnify, defend, and hold harmless Ratiocine from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- your User Content;
- your misuse of the Service;
- your violation of these Terms;
- your infringement of another person's rights; or
- your violation of any applicable law.
This obligation survives termination of your account.
22. Changes to the Service
We are continuously improving Ratiocine.
Accordingly, we may:
- add, remove, or modify features;
- introduce new subscription plans;
- discontinue existing features;
- change storage limits or usage limits;
- improve security measures;
- update integrations; or
- make other operational changes.
We are under no obligation to continue offering any particular feature indefinitely.
Where practical, we will provide reasonable notice of material changes that significantly affect users.
23. Changes to these Terms
We may update these Terms from time to time.
When we make material changes, we will update the "Last updated" date and may notify users through the website, application, email, or another appropriate communication method.
Your continued use of the Service after revised Terms become effective constitutes your acceptance of the updated Terms.
If you do not agree with the revised Terms, you must stop using the Service.
24. Privacy
Your use of the Service is also governed by our Privacy Policy.
The Privacy Policy explains how we collect, use, store, and protect personal information.
By using the Service, you acknowledge that your personal information will be handled in accordance with our Privacy Policy.
25. Data Processing
Where applicable, the processing of personal data is governed by our Data Processing Agreement (DPA).
The DPA forms part of these Terms where required by applicable data protection laws.
26. Refunds
Refunds are governed exclusively by our Refund Policy.
Nothing in these Terms modifies any statutory consumer rights that cannot lawfully be excluded.
27. Force Majeure
Ratiocine shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control.
These circumstances include, but are not limited to:
- natural disasters;
- severe weather;
- fire;
- flood;
- war;
- terrorism;
- civil unrest;
- labour disputes;
- internet or telecommunications failures;
- power outages;
- cyberattacks;
- actions of government authorities; or
- failures of third-party service providers.
Performance of affected obligations shall be suspended for the duration of the event.
28. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
We may assign or transfer these Terms, in whole or in part, as part of a merger, acquisition, business restructuring, sale of assets, or other corporate transaction.
29. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be interpreted as closely as possible to reflect its original intent.
The remaining provisions shall remain in full force and effect.
30. No Waiver
Failure by Ratiocine to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Any waiver must be in writing.
31. Entire Agreement
These Terms, together with our Privacy Policy, Refund Policy, Data Processing Agreement (DPA), and any other policies expressly incorporated by reference, constitute the entire agreement between you and Ratiocine regarding your use of the Service.
They supersede all prior agreements, understandings, representations, and communications relating to the Service.
32. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of Ireland, without regard to conflict of law principles.
Where permitted by applicable law, the courts of Ireland shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or the Service.
If mandatory consumer protection laws in your country provide additional rights, those rights remain unaffected.
